General Terms and Conditions of Online Contracting

1. Provider identification
The service provider is NOEMA AUTOMATIONS, S.L., Tax ID B88880364, address Folgueroles (Vic), contact info@noemaautomations.com.
2. Purpose and addressees
These terms govern the online contracting of the implementation and maintenance services for AI and automation systems. The services are aimed exclusively at companies, self-employed professionals and professionals (B2B clients) acting within their business or professional activity. By contracting, the client declares this status.
3. Contracting process
The online contracting process consists of the following stages: (1) selection of the service and plan; (2) completion of the form with the company and contact-person details; (3) reading and express acceptance of these General Terms, the Privacy Policy and, where applicable, the Service Agreement and its Annexes; (4) payment of the setup fee; (5) confirmation of the contracting by email. The full contractual relationship is governed by the Service Agreement.
4. Prices and taxes
Service prices are stated on the website. All prices are shown excluding VAT, which will be added at the applicable legal rate (currently 21%) at the time of invoicing. The setup fee is payable in advance; the monthly retainer, in accordance with the Agreement.
5. Payment methods and invoicing
Payment is made by bank transfer or SEPA direct debit through the enabled payment gateway. The provider will issue an electronic invoice for each transaction, in accordance with the applicable invoicing regulations.
6. Right of withdrawal
As the services are contracted by companies and professionals within their activity (B2B contracting), the right of withdrawal provided for consumers under the consolidated text of the Spanish General Law for the Defence of Consumers and Users does not apply. Cancellation of the service is governed by the term and termination clauses of the Service Agreement. If the client were exceptionally a consumer, they would be expressly informed of the 14-day right of withdrawal and its exceptions.
7. Availability and errors
The provider will endeavour to keep the website available and the published information accurate. In the event of an obvious error in the price or description of a service, the provider may cancel the affected order and refund the amounts paid.
8. Data protection
Data processing in the contracting process is governed by the Privacy Policy and, as regards the processing of data on behalf of the client, by the Data Processing Agreement.
9. Applicable law and jurisdiction
These terms are governed by Spanish law. For any dispute, the parties submit to the Courts of Barcelona, waiving any other jurisdiction.
